1. Acceptance of Terms

By accessing or using FaceDub ("the Service"), operated by FaceDub ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Description of Service

FaceDub is an AI-powered video generation platform that allows users to create UGC-style video content by combining a character photo with a reference video. The Service processes uploaded media using artificial intelligence to generate new video content.

3. Account Registration

To use the Service, you must create an account using Google Sign-In. You are responsible for maintaining the security of your account and for all activities that occur under your account. You must provide accurate and complete information when creating your account.

4. Acceptable Use

You agree not to use the Service to:

• Generate content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
• Create deepfake content intended to deceive, defraud, or harm others
• Impersonate any person or entity without their explicit consent
• Generate content that infringes on any third party's intellectual property rights
• Upload content containing minors
• Generate, upload, or distribute sexually explicit, pornographic, or NSFW content of any kind
• Upload violent, gory, or graphic content intended to shock or disturb
• Use the Service for harassment, stalking, bullying, or targeting any individual
• Attempt to bypass content safety filters or moderation systems
• Use the Service for any purpose that violates applicable law or regulation
• Attempt to reverse-engineer, decompile, or otherwise extract the source code of the Service
• Interfere with or disrupt the Service or its infrastructure

5. Content Moderation & Automated Enforcement

Our Service uses automated content safety systems to detect and block prohibited content. When content you upload triggers our safety filters, a strike is recorded against your account.

Automatic suspension: If your account accumulates 5 or more content safety violations within a billing period, your account will be automatically suspended. Suspended accounts cannot create new video generations.

To appeal a suspension or discuss a content moderation decision, contact us at [email protected]. We review appeals on a case-by-case basis and may reinstate accounts where violations were unintentional.

We reserve the right to permanently terminate accounts engaged in egregious or repeated violations without prior warning. No refund will be issued for accounts terminated due to policy violations.

6. Content Ownership & License

You retain ownership of the content you upload to the Service (character photos and reference videos). By uploading content, you grant us a limited, non-exclusive license to process, store, and transform that content solely for the purpose of providing the Service to you.

You own the AI-generated output videos created through the Service, subject to any limitations of the underlying AI models and technologies used in generation.

7. Subscription & Credits

The Service operates on a credit-based subscription model. Credits are allocated monthly based on your plan tier. Unused credits do not roll over to the next billing period. Overage credits are billed at the rate specified for your plan.

All fees are non-refundable except as required by applicable law. We reserve the right to modify pricing with 30 days' notice.

8. Refund Policy

If a video generation fails due to a system error, the credits consumed will be automatically refunded to your account. We do not offer monetary refunds for credits already purchased or subscription fees already charged.

9. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may perform maintenance, updates, or modifications that temporarily affect availability. We are not liable for any downtime or service interruptions.

10. Termination

We may suspend or terminate your account at any time if you violate these Terms. You may cancel your account at any time through your account settings or by contacting us. Upon termination, your right to use the Service ceases immediately.

11. Limitation of Liability

To the maximum extent permitted by law, FaceDub shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

12. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

13. Indemnification

You agree to indemnify, defend, and hold harmless FaceDub and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from your use of the Service or your violation of these Terms.

14. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the Service with a new "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the revised Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
